Disclosure Policy

(1) Standards for Information Disclosure

The Company promptly discloses information in accordance with applicable laws and regulations, including the Financial Instruments and Exchange Act, and the “Timely Disclosure of Company Information, etc.” provisions of the Securities Listing Regulations established by the Tokyo Stock Exchange (hereinafter referred to as the “Timely Disclosure Rules”), based on the principles of transparency, fairness, and continuity. In addition, even in cases where disclosure is not required under applicable laws, regulations, or the Timely Disclosure Rules, the Company proactively and fairly discloses information that it determines to be important or useful for shareholders and investors to better understand the Company.

However, the Company will not disclose information that may infringe upon personal information, customer information, or the rights of related parties.

(2) Methods of Information Disclosure

Information subject to the Timely Disclosure Rules is disclosed through the Timely Disclosure Information Transmission System (TDnet) provided by the Tokyo Stock Exchange in accordance with such rules. After disclosure through TDnet, the information is promptly posted on the Company’s website. With respect to information not subject to the Timely Disclosure Rules, the Company also broadly discloses information that it determines to be important or useful, such as by posting it on the Company’s website.

(3) Prevention of Insider Trading

To prevent insider trading, the Company has established internal regulations for the management of insider transactions and seeks to prevent such activities. In addition, the Company holds annual study sessions on insider trading regulations for officers and employees, distributes explanatory materials, and strives to ensure thorough awareness and understanding of the purpose of such regulations. The Company also provides reminders regarding insider trading through internal notices as appropriate.

(4) Handling of Earnings Forecasts and Forward-Looking Information

Among the earnings forecasts, future outlooks, strategies, targets, and other information disclosed by the Company, statements other than those relating to historical or current facts constitute forward-looking statements. These statements are based on plans, expectations, and judgments formed using information currently available to the Company and certain assumptions deemed reasonable at this time. Accordingly, actual results may differ materially from disclosed forecasts due to various uncertain factors, including changes in economic conditions.

(5) Quiet Period

To prevent the leakage of financial results information, including quarterly financial results, and to ensure fairness in information disclosure, the Company designates the period from the day following the end of each fiscal year or quarter until the announcement of the relevant financial results as a quiet period. During this period, the Company refrains from responding to questions or providing comments regarding financial results or earnings outlooks. However, if it becomes apparent during this period that earnings forecasts are likely to change significantly, the Company discloses such information in a timely manner in accordance with the Timely Disclosure Rules.

(6) Development of Internal Systems

In accordance with this Disclosure Policy, the Company strives to develop and enhance its internal systems in order to ensure appropriate information disclosure in compliance with applicable laws, regulations, and the Timely Disclosure Rules.
